These Terms and Conditions ("Terms") govern your access to and use of the GameFndr website, platform, application, and related services (collectively, the "Platform"). By creating an account, accessing the Platform, joining a game, making a booking, or otherwise using GameFndr, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, please do not use the Platform. 1. About GameFndr GameFndr is an online sports participation booking service. GameFndr directly organizes and manages sports games and activities — including venue rental, scheduling, bookings, payments, and game operations. Players book participation slots through the Platform. GameFndr may facilitate: • Sports game listings • Game scheduling • Player registration and participation • Booking and slot reservations • Online payments • Communication between users • Game-related notifications • Other services related to sports activities GameFndr may support different sports and activities and may introduce additional features or services over time. 2. Eligibility You must be at least 18 years old to create an account or use GameFndr's services. By using GameFndr, you represent and confirm that: • You are at least 18 years old. • You have the legal capacity to enter into these Terms. • The information you provide is accurate and current. • You will comply with these Terms and applicable laws. GameFndr may suspend or terminate an account if we reasonably believe that the user does not meet the eligibility requirements. 3. Creating a GameFndr Account Certain GameFndr features require an account. When creating an account, you agree to: • Provide accurate information. • Keep your account information updated. • Protect your login credentials. • Not share your account with another person. • Not create an account using another person's identity. • Notify GameFndr if you believe your account has been compromised. You are responsible for activity conducted through your account unless the activity resulted from unauthorized access that was not caused by your failure to maintain reasonable account security. GameFndr reserves the right to suspend or terminate accounts that contain false, misleading, fraudulent, or inappropriate information. 4. Using GameFndr You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not: • Use GameFndr for fraudulent purposes. • Provide false or misleading information. • Create fake bookings or games. • Manipulate game availability or player slots. • Attempt to bypass GameFndr's payment or booking systems. • Use another person's account without authorization. • Attempt to gain unauthorized access to the Platform. • Interfere with the operation or security of the Platform. • Upload malicious software or harmful content. • Abuse, harass, threaten, or discriminate against other users. • Use GameFndr to conduct unlawful activities. • Attempt to collect unnecessary personal information from other users. • Use the Platform to promote unrelated products or services without authorization. GameFndr may investigate suspected violations and take appropriate action. 5. Game Listings All games listed on GameFndr are organized and operated by GameFndr. There are no third-party organizers selling games on the Platform. Clearly labeled demo listings are provided solely for payment gateway review to demonstrate GameFndr’s booking and checkout flow. They do not represent actual scheduled games. No payments will be collected, and no bookings or slots will be confirmed. GameFndr is responsible for providing accurate information about its games, including where applicable: • Sport • Date • Time • Venue • Location • Number of available slots • Game fee • Game duration • Game rules • Other relevant game information GameFndr may modify, restrict, or remove game listings where reasonably necessary for safety, accuracy, operational, legal, or policy reasons. Sports venues are suppliers to GameFndr and are paid separately for facility rental. Venues are not independent sellers, organizers, or merchants on the Platform, and GameFndr does not make organizer payouts. 6. Joining and Booking a Game When you select and book a game, you are responsible for reviewing the game details before completing your booking. This may include: • Game date and time • Location • Sport • Game fee • Available slots • GameFndr game information • Applicable game rules • Cancellation or refund conditions A booking is considered confirmed only when GameFndr indicates that the booking has been successfully completed and, where payment is required, the required payment has been successfully processed. Selecting or attempting to reserve a slot does not necessarily guarantee participation until the booking process has been completed. 7. Game Fees and Payments GameFndr may allow users to pay booking or participation fees through third-party payment service providers. The applicable amount payable will be displayed during the booking or checkout process. Depending on the game or service, the amount may include: • Game or participation fee • Applicable GameFndr service or platform fee • Applicable payment or transaction fee • Other charges disclosed before payment You are responsible for reviewing the total amount before completing payment. GameFndr does not intentionally store complete payment-card credentials such as full card numbers or CVV/security codes when such information is processed by an authorized payment service provider. Payment processing may be subject to the terms and policies of the applicable payment service provider. 8. Payment Status A payment may be identified as pending, successful, failed, expired, cancelled, refunded, or otherwise incomplete depending on the transaction status provided by the applicable payment service provider. If a payment is unsuccessful or incomplete, GameFndr may allow you to continue or retry the payment where the booking remains eligible. A pending or incomplete payment does not necessarily guarantee that a game slot will remain available indefinitely. GameFndr may release an unpaid or incomplete booking where necessary to maintain accurate game availability. 9. Cancellations and Refunds Cancellations and refunds for all bookings made through GameFndr are governed by the GameFndr Return & Refund Policy. Please review it before completing a booking. In general: • Cancellations 48 hours or more before the game are eligible for a 100% refund. • Cancellations 24 hours to less than 48 hours before the game are eligible for a 50% refund. • Cancellations less than 24 hours before the game, and no-shows, are not eligible for a refund. • If a game is cancelled by GameFndr, affected players are eligible for a 100% refund. Approved refunds are returned through the original payment method. Processing times may vary depending on the payment provider and your bank or card issuer. 10. Game Cancellation or Changes A game may be cancelled, postponed, rescheduled, relocated, or otherwise changed due to circumstances including: • GameFndr decisions • Insufficient participants • Venue availability • Weather • Safety concerns • Operational issues • Other circumstances beyond GameFndr's reasonable control Where reasonably possible, GameFndr may notify affected users about significant changes. Where a refund is applicable, it will be handled in accordance with the applicable refund policy. GameFndr does not guarantee that every game will proceed exactly as originally scheduled. 11. Game Operations GameFndr organizes and manages its games directly and is responsible for: • Providing accurate game information. • Securing legitimate venues through supplier agreements. • Honoring confirmed bookings. • Communicating relevant changes to participants. • Collecting and confirming player payments. • Managing cancellations and processing refunds in accordance with the applicable refund policy. • Managing game operations. • Following applicable laws and venue rules. • Treating players fairly and respectfully. GameFndr pays venues separately for court or facility rental. GameFndr does not distribute player payments to third parties. 12. Player Responsibilities Players are responsible for: • Reviewing game details before booking. • Arriving at the correct location and time. • Following applicable game and venue rules. • Treating other players and GameFndr staff respectfully. • Following reasonable safety instructions. • Providing accurate account information. • Completing required payments. • Cancelling bookings according to the applicable cancellation rules. Players should not attend a game while knowingly violating applicable venue rules or GameFndr requirements. 13. Sports and Physical Activity Risks Participation in sports and physical activities involves inherent risks, including the possibility of injury. By participating in a game, you acknowledge that sports activities may involve physical exertion, contact with other participants, falls, equipment-related risks, or other injuries. You are responsible for determining whether you are physically and medically capable of participating in a particular activity. GameFndr is a booking and sports activity platform and does not provide medical advice or medical clearance. If you have concerns regarding your ability to participate safely, you should seek appropriate professional advice before participating. 14. User Conduct and Safety GameFndr expects users to maintain respectful and appropriate conduct. Prohibited conduct includes: • Threats or violence • Harassment • Bullying • Discrimination • Sexual harassment • Hate speech • Fraud • Intimidation • Deliberate property damage • Unsafe behavior • Other unlawful or seriously inappropriate conduct GameFndr may suspend or terminate accounts and take other appropriate action when violations are reported or identified. Where appropriate, serious incidents may be reported to relevant authorities. 15. Communications Between Users GameFndr may provide communication features that allow users to communicate regarding games or bookings. Users are responsible for the content of their communications. You must not use GameFndr communication features to: • Harass or threaten another person. • Share unlawful or harmful content. • Conduct scams or fraudulent activity. • Request unnecessary sensitive personal information. • Promote unrelated commercial activity without authorization. • Circumvent GameFndr's booking or payment process. GameFndr may moderate or investigate communications where reasonably necessary to maintain safety, enforce policies, investigate complaints, or comply with applicable law. 16. Third-Party Services GameFndr may use third-party services to provide certain Platform functions, including payment processing, hosting, analytics, communications, authentication, and other technical services. Third-party services may operate under their own terms and privacy policies. GameFndr is not responsible for the independent policies, availability, or performance of third-party services outside GameFndr's reasonable control. 17. Platform Availability GameFndr aims to keep the Platform available and functional but does not guarantee that it will always be uninterrupted, error-free, or available. The Platform may occasionally be unavailable due to: • Maintenance • Updates • Technical issues • Security incidents • Third-party service interruptions • Internet or telecommunications failures • Events outside GameFndr's reasonable control GameFndr may modify, suspend, or discontinue features or services when reasonably necessary. 18. Intellectual Property Unless otherwise stated, the GameFndr name, branding, logos, designs, software, website content, graphics, text, interfaces, and other original materials provided by GameFndr are owned by or licensed to GameFndr and are protected by applicable intellectual property laws. You may not reproduce, modify, distribute, sell, publicly display, reverse engineer, or commercially exploit GameFndr's intellectual property without prior written authorization, except where permitted by applicable law. Users retain ownership of content they independently submit to GameFndr, subject to the license necessary for GameFndr to operate the Platform. By submitting content to GameFndr, you grant GameFndr a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and use that content as reasonably necessary to provide and improve the Platform. 19. User-Submitted Content You are responsible for content and information you submit to GameFndr. You represent that you have the right to submit the content and that doing so does not knowingly violate another person's rights or applicable law. GameFndr may remove or restrict content that: • Violates these Terms • Violates applicable law • Is fraudulent or misleading • Creates a safety or security risk • Is abusive or inappropriate • Infringes third-party rights 20. Account Suspension and Termination GameFndr may suspend, restrict, or terminate an account where reasonably necessary, including when a user: • Violates these Terms • Engages in fraudulent activity • Misuses the Platform • Provides false information • Creates safety risks • Repeatedly violates booking or payment rules • Attempts to circumvent Platform controls • Engages in unlawful activity Where appropriate, GameFndr may provide notice regarding account restrictions or termination. Termination does not eliminate obligations that arose before termination, including applicable payment, refund, dispute, or legal obligations. 21. Disclaimer GameFndr provides an online service for booking participation in sports activities organized and managed by GameFndr. GameFndr rents venues from third-party suppliers, who are service providers to GameFndr and are not independent sellers or organizers on the Platform. Except where expressly stated otherwise, GameFndr does not guarantee: • The quality of a particular game • The conduct of individual players • The condition of a venue • The availability of a venue • That a game will proceed exactly as listed • That another user will attend • That a game will meet a particular player's expectations GameFndr will make reasonable efforts to operate the Platform and address legitimate complaints, but users participate in games at their own discretion and subject to applicable risks. 22. Limitation of Liability To the maximum extent permitted by applicable law, GameFndr shall not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from your use of the Platform or participation in a game. This may include losses arising from: • User conduct • Game operations • Game cancellation or changes • Venue conditions • Sports-related injuries • Third-party service interruptions • Internet or technical failures • Unauthorized access caused by circumstances outside GameFndr's reasonable control Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law. 23. Indemnification To the extent permitted by applicable law, you agree to indemnify and hold harmless GameFndr Sports Events Management Services and its owners, representatives, employees, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from: • Your violation of these Terms • Your misuse of the Platform • Your unlawful conduct • Your violation of another person's rights • Content you submit to the Platform • Your participation in activities in violation of applicable rules or requirements This provision does not apply to the extent that the relevant claim resulted from GameFndr's own unlawful conduct or liability that cannot legally be excluded. 24. Privacy Your use of GameFndr is also governed by our Privacy Policy, which explains how GameFndr collects, uses, stores, and protects personal information. By using GameFndr, you acknowledge that you have reviewed the Privacy Policy. 25. Disputes and Complaints If you have a complaint or dispute relating to GameFndr, we encourage you to contact us first so that we can attempt to resolve the matter. If we can’t resolve it, you may seek remedies available under Philippine law, including filing a complaint with the DTI. Nothing in these Terms prevents you from exercising any rights or remedies available to you under applicable Philippine law. 26. Governing Law These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines, without prejudice to rights that cannot legally be waived. Any dispute that cannot be resolved through good-faith communication shall be subject to the jurisdiction of the appropriate courts of the Philippines, subject to applicable law. 27. Changes to These Terms GameFndr may update these Terms from time to time to reflect changes to the Platform, business practices, services, or applicable laws. When material changes are made, GameFndr may provide notice through the Platform, email, or other appropriate means. The "Last Updated" date at the beginning of these Terms indicates when they were most recently revised. Your continued use of GameFndr after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law. 28. Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where legally permitted. The remaining provisions shall continue in full force and effect. 29. Entire Agreement These Terms, together with the GameFndr Privacy Policy, Return & Refund Policy, and other applicable policies referenced on the Platform, constitute the terms governing your use of GameFndr. If there is a conflict between these Terms and the Return & Refund Policy regarding refunds, the Return & Refund Policy controls. 30.
